Authorization to Seek Financial Assistance on behalf of NACDL

The Executive Committee authorized NACDL’s president and executive director to seek available government and other financial assistance in response to the COVID-19 crisis.

WHEREAS, the coronavirus epidemic has caused significant interruption to NACDL’s operations and it is not now possible to determine the duration of that interruption, nor the impact on NACDL’s finances,

And WHEREAS, it is prudent for NACDL to seek whatever government assistance may be available,

And WHEREAS, it may also be prudent to seek loans or credit lines in order to maintain NACDL’s business operation,

The Executive Committee pursuant to its authority under Bylaws Article VII, Section 4 (a) hereby resolves as follows:

Nina Ginsberg as President and/or Norman L. Reimer as Executive Director, or their duly designated successors, are hereby authorized to apply for available government assistance and or loans or lines of credit as agents for NACDL with the understanding that any such liability for the repayment of any such government assistance that may require repayment and the repayment of any loans or lines of credit shall remain the sole and exclusive responsibility of NACDL and Nina Ginsberg and Norman L. Reimer shall be held harmless and indemnified by NACDL for their actions as agents of NACDL.

The authority to apply for any available government assistance, loan, or credit line pursuant to this resolution shall expire in 90 days, unless duly extended by the Board of Directors or the Executive Committee.
