NACDL Board of Directors Resolution Amending NACDL’s Code of Conduct

WHEREAS—

  1. to make clear that reports can be made directly by members, staff and others directly without having to go through a Board member or officer;
  2. to allow the President the option of designating more than three people to handle complaints if there are multiple complaints; and
  3. to ensure that the internal complaint process is free from conflicts of interests;

THEREFORE, BE IT RESOLVED that the first paragraph of the section entitled "Reporting Procedure" of NACDL's Code of Conduct shall be amended to read as follows:

“To ensure the Board knows of any such misconduct and can respond appropriately, reports of any possible violation of the Personal Conduct Policy must be made to a member of the Internal Complaint Committee (“Committee”) which shall consist of a panel of three members designated by the President, none of whom may be employees of NACDL. The President may, appoint a panel, or panels of three designees as needed to investigate any report or reports of a violation of the Personal Conduct Policy. The President shall not serve on any panel investigating any report of a violation of the Personal Conduct Policy.”
